This course analyses how company law and management interact. It discusses various theories of the firm and how these explain managerial behaviour and have an impact on company law, primarily in the fields of agency problems and corporate governance. The course also provides a framework for analyzing how and to what extent corporate regulation is effective to ensure compliance. Finally, different compliance systems are analysed with emphasis on their advantages and disadvantages and in what situations they are appropriate to achieve their objectives.
The course is taught in a seminar format on the basis of compulsory reading materials, case law materials and case studies. The course is examined on the basis of a written essay exam and optional homework assignments.
